Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Jebjosh storefront available at https://market.jebjosh.com or https://jebjosh.trakroom.com or https://trakroom.com/jebjosh or https://jebjosh.com (the "Store"), operated by JEBJOSH MEDIA LIMITED ("we", "us", "our", or the "Merchant").

These Terms apply when you visit the Store, create or use an account, browse Products, listen to previews, make a purchase, download or access a Product, obtain a License, submit content, or otherwise interact with the Store.

Please read these Terms carefully before using the Store.

By completing a purchase, accepting applicable terms during checkout, downloading or accessing a purchased Product, or otherwise taking an action that indicates your agreement to these Terms, you agree to be bound by them.

If you do not agree to these Terms, you should not complete a purchase or use Products made available through the Store.

1. About the Store and Platform

The Store is operated by JEBJOSH MEDIA LIMITED trading as Jebjosh.

The Store runs on Trakroom, a storefront and marketplace technology platform operated by Trackdock Limited.

Trakroom may provide technology and infrastructure including:

• Storefront hosting;
• Customer accounts;
• Checkout functionality;
• Payment integrations;
• Order management;
• Digital delivery;
• Download management;
• License delivery;
• Security;
• Analytics; and
• Related technical services.

Unless expressly stated otherwise, Trackdock Limited is not the seller or licensor of Products offered by JEBJOSH MEDIA LIMITED through this Store.

Your contract for Products purchased from this Store is with JEBJOSH MEDIA LIMITED.

2. Related Agreements and Policies

These Terms should be read together with our:

• Merchant Service Agreement;
• Refund & Cancellation Policy;
• Privacy Policy; and
• Any Product-Specific License or other terms presented in connection with a particular Product.

These documents form part of the terms applicable to your use of the Store and your purchases.

If a Product-Specific License contains terms that differ from these general Terms regarding use of that Product, the Product-Specific License will control for that Product.

3. Definitions

For these Terms:

• "Customer", "you", and "your" mean the individual or entity accessing the Store or purchasing, licensing, downloading, or using a Product.
• "Digital Product" means a Product supplied electronically rather than as a physical product.
• "Product" includes beats, instrumentals, stems, audio files, sample packs, sound kits, music kits, drum kits, loops, one-shots, presets, MIDI files, software plugins, downloadable software, licenses, custom products, and other goods or services offered through the Store.
• "Beat License" means the specific license governing use of a beat, instrumental, sound recording, composition, stem, or related material.
• "Music Production Product" means a sample pack, sound kit, music kit, drum kit, loop pack, one-shot collection, preset pack, MIDI pack, or similar music-production resource.
• "Software Product" means a software plugin, application, installer, digital tool, or other downloadable software.
• "License" means the rights granted to you in connection with a Product.
• "Product-Specific License" means license terms displayed with a Product, presented at checkout, included with a download, or otherwise clearly identified as applying to that Product.
• "Store Content" means material displayed through the Store that is not a purchased Product, including text, graphics, artwork, branding, photographs, previews, interface elements, and promotional content.
• "Payment Processor" means a third-party payment provider, gateway, acquiring bank, financial institution, mobile-money provider, card network, or similar payment service.

4. Eligibility

By using the Store or completing a purchase, you represent that:

• You have the legal capacity to enter into a binding agreement;
• Information you provide is accurate and complete;
• You will use the Store and Products lawfully;
• You will comply with applicable Product Licenses;
• You will not use the Store for fraudulent or abusive purposes; and
• If you act for a business or other legal entity, you have authority to act on its behalf.

Where applicable law requires parental, guardian, or other authorization because of your age, you may use the Store only with the authorization required by law.

5. Customer Accounts

Where the Store provides customer accounts, you are responsible for maintaining the confidentiality of your credentials and taking reasonable steps to prevent unauthorized access.

You should:

• Provide accurate account information;
• Keep your information reasonably current;
• Protect your login credentials;
• Not share credentials in a manner that compromises account security; and
• Notify us promptly if you reasonably believe your account has been accessed without authorization.

6. Cookies and Similar Technologies

The Store may use cookies, local storage, session storage, and similar technologies.

Some technologies are necessary to:

• Maintain your shopping cart;
• Keep you signed in;
• Process checkout;
• Remember essential preferences;
• Deliver Products;
• Protect the Store from fraud or abuse; and
• Maintain security.

These essential technologies may be used where necessary to provide the Store and do not necessarily depend on consent where applicable law permits another lawful basis.

Optional analytics, advertising, or similar technologies will be handled in accordance with our Privacy Policy and applicable law.

Where consent is required for optional technologies, we will seek that consent where applicable.

7. Store Content

Unless otherwise stated, Store Content is owned by JEBJOSH MEDIA LIMITED or used by us under license.

Subject to these Terms, you may access and view Store Content for your personal or legitimate business use in connection with evaluating or purchasing our Products.

Unless we expressly permit otherwise, you may not:

• Republish substantial Store Content as your own;
• Sell or sublicense Store Content;
• Copy Store Content for commercial redistribution;
• Remove copyright, trademark, or ownership notices;
• Misrepresent Store Content as belonging to you;
• Scrape or systematically extract Store Content in violation of applicable law or our technical restrictions; or
• Use Store Content in a way that infringes our rights or the rights of another person.

These restrictions on Store Content do not replace the separate rights granted to you in purchased Products.

8. Product Listings and Information

We seek to provide clear and accurate information about Products before purchase.

Depending on the Product, a listing may describe:

• Product type;
• Audio or visual previews;
• Included files;
• File formats;
• License options;
• Commercial-use rights;
• Royalty requirements;
• Credit requirements;
• Publishing requirements;
• Usage restrictions;
• Software compatibility;
• System requirements;
• Price; and
• Other material conditions.

You should review the Product description and applicable License before completing your purchase.

Nothing in these Terms removes any right you may have where a Product is materially misrepresented, defective, or not supplied as described.

9. Product Previews

We may provide audio, visual, or software previews to help you evaluate Products before purchase.

Preview material may:

• Contain audio tags;
• Contain watermarks;
• Be reduced in quality;
• Be shortened;
• Have functionality restricted; or
• Otherwise differ from the full purchased Product.

Unless expressly permitted, preview material is provided for evaluation only.

You may not:

• Commercially release an unauthorized preview;
• Remove or intentionally circumvent an audio tag or watermark for unauthorized use;
• Distribute preview files as though they were licensed Products;
• Claim ownership of preview material; or
• Use preview material outside any permission expressly granted by us.

10. Purchases and Orders

Product prices and available License options are displayed through the Store.

An Order is subject to acceptance as described in our Merchant Service Agreement.

We may decline, hold, or cancel an Order where reasonably necessary, including because of:

• Product unavailability;
• A material pricing error;
• A material Product-description error;
• Payment failure;
• Fraud or risk concerns;
• Unauthorized payment activity;
• Payment Processor requirements; or
• Applicable legal requirements.

Where we cancel a successfully paid Order before fulfillment, any applicable refund will be handled in accordance with our Refund & Cancellation Policy.

11. General Product Licensing

Purchasing a Digital Product generally grants you a License to use that Product.

Purchasing a Product does not automatically transfer copyright or ownership of the underlying intellectual property.

Unless a Product-Specific License expressly states otherwise:

• Copyright remains with JEBJOSH MEDIA LIMITED or the applicable rights holder;
• Your License is non-exclusive;
• Your License is limited to the rights expressly granted;
• You may not resell or redistribute the original source files;
• You may not make the original Product available for others to download;
• You may not sublicense the original Product as a standalone Product;
• You may not claim authorship or ownership of source material that you did not create; and
• You may not use the Product outside the scope of the applicable License.

Different types of Products may have different licensing rules.

For example, the license applicable to a sound kit may be different from the license applicable to a beat or Software Product.

12. Beats and Instrumentals

Beats, instrumentals, stems, compositions, and related sound recordings are governed by the Beat License selected or presented when you purchase them.

A Beat License may specify rights relating to:

• Commercial use;
• Distribution;
• Streaming;
• Monetization;
• Sales limits;
• Music videos;
• Live performances;
• Broadcasting;
• Synchronization;
• Publishing;
• Master recordings;
• Producer credit;
• Royalties;
• Content-identification systems;
• Exclusive or non-exclusive use; and
• Other permitted or prohibited uses.

You receive only the rights stated in the applicable Beat License.

Non-Exclusive Beat Licenses

Where a Beat License is non-exclusive:

• Other customers may receive licenses to the same beat;
• You do not acquire exclusive ownership of the beat;
• Copyright ownership does not transfer merely because you purchased a License; and
• Your rights remain subject to the applicable License.

Exclusive Beat Licenses

Where an exclusive License is offered, the specific rights granted are those stated in the applicable exclusive License.

The word "exclusive" does not by itself mean that copyright ownership is transferred.

Copyright or other ownership transfers only where the applicable written agreement expressly provides for an assignment or transfer.

Previously granted valid licenses may continue after an exclusive sale where provided by their terms and the applicable exclusive License.

13. Music Kits, Sample Packs, Sound Kits and Similar Products

Unless a Product listing or Product-Specific License expressly states otherwise, Music Production Products offered through the Store are licensed on a non-exclusive, royalty-free basis for personal and commercial music production.

This may include:

• Sample packs;
• Sound kits;
• Music kits;
• Drum kits;
• Loops;
• One-shots;
• Presets;
• MIDI files; and
• Similar music-production resources.

Commercial Rights

Under the standard license described in this section, you may incorporate licensed sounds or materials into your own original musical or creative productions.

Subject to these Terms and any Product-Specific License, you may use those resulting original productions for commercial purposes.

This may include the right to:

• Release resulting music commercially;
• Distribute resulting recordings;
• Upload resulting music to streaming platforms;
• Monetize resulting musical works;
• Sell resulting recordings;
• Perform resulting works publicly;
• Produce music for clients;
• Use resulting productions in audiovisual works;
• Release albums, singles, EPs, or other musical projects; and
• Otherwise commercially exploit an original production incorporating the licensed material.

Royalty-Free Rights

Where a Product is described as royalty-free, you are not required to pay JEBJOSH MEDIA LIMITED continuing royalties solely because the licensed sounds are used within an original musical composition or production.

Royalty-free does not mean copyright-free.

Royalty-free does not mean that ownership of the original source files is transferred to you.

JEBJOSH MEDIA LIMITED or the applicable rights holder retains copyright and ownership of the original source material.

Example

If you purchase a royalty-free drum kit and use a kick, snare, percussion sound, or other sample from that kit as part of an original song, you may commercially release and monetize the resulting song without paying JEBJOSH MEDIA LIMITED continuing royalties solely for that use, unless the Product-Specific License expressly states otherwise.

However, you may not take the original kick, snare, sample, loop, preset, or other source file and resell or redistribute that source material as your own sound kit or standalone downloadable Product.

Restrictions on Source Files

Unless expressly permitted by a Product-Specific License, you may not:

• Resell the original source files;
• Redistribute the original source files;
• Share the Product so that another person can avoid purchasing their own copy;
• Upload the source files to public file-sharing services;
• Repackage source files into another sample pack;
• Repackage source files into another sound kit;
• Repackage source files into another drum kit;
• Repackage source files into another loop pack;
• Repackage source files into another preset pack;
• Repackage source files into another MIDI pack;
• Sell or distribute substantially unmodified source files as standalone samples;
• Claim that you created source files you did not create; or
• Transfer the original Product to another person except where expressly permitted.

Non-Exclusive Samples and Content Identification

Some samples, loops, sounds, MIDI files, presets, and other production materials may be licensed to more than one customer.

Where source material is non-exclusive, other customers may lawfully use the same material.

You should not register an unmodified or substantially unmodified non-exclusive source sample, loop, or similar source file by itself with a content-identification or audio-fingerprinting system in a manner that improperly prevents other authorized customers from using the same material.

Products With Special Royalty or Commercial Terms

Not every Product must use the standard royalty-free terms described above.

Some Products may include:

• Third-party samples;
• Special royalty obligations;
• Publishing requirements;
• Producer-credit requirements;
• Commercial-use limitations;
• Clearance requirements;
• Revenue-sharing requirements; or
• Other Product-Specific conditions.

Where different terms apply, they will be identified in the relevant Product listing, License, or other licensing information associated with the Product.

The Product-Specific License will control over the standard terms in this section.

14. Software Plugins and Downloadable Software

Software Products are licensed rather than sold except where expressly stated otherwise.

Unless a separate Software Product License states otherwise, purchasing a Software Product grants you a limited, non-exclusive right to install and use it for your own lawful creative or music-production purposes.

You may use output created with the Software Product commercially unless the applicable Product terms expressly provide otherwise.

Unless permitted by the applicable License or applicable law, you may not:

• Redistribute the Software Product;
• Sell unauthorized copies;
• Share activation credentials;
• Share serial numbers or license keys in violation of the License;
• Circumvent activation or licensing controls;
• Remove ownership or copyright notices;
• Extract and redistribute proprietary software components;
• Reverse engineer or decompile the Software Product except where applicable law expressly permits you to do so; or
• Use the Software Product for unlawful purposes.

System requirements and compatibility information may be displayed with the Product.

You are responsible for reviewing disclosed requirements before purchase.

Nothing in this section removes any right you may have where software is defective, materially misdescribed, or otherwise subject to a mandatory consumer remedy.

15. Custom and Commissioned Products

Where we offer custom beats, commissioned productions, modifications, or other made-to-order Products, additional terms may apply.

Those terms may address:

• Scope of work;
• Pricing;
• Deposits;
• Delivery;
• Revisions;
• Cancellation;
• Refunds;
• Ownership;
• Publishing;
• Master rights;
• Credit; and
• Licensing.

Paying for custom work does not automatically transfer copyright or ownership unless a written agreement expressly provides for such transfer.

Where a separate written agreement applies to custom work, that agreement will control in relation to the relevant custom Product.

16. License Restrictions

Unless expressly permitted by a Product-Specific License, you may not:

• Sell a purchased Product in substantially the same form in which it was supplied;
• Give away the original Product files;
• Upload the original Product files for public download;
• Share a purchased Product with another producer as a substitute for that producer purchasing a License;
• Sublicense original source material as a competing digital Product;
• Falsely claim authorship or ownership;
• Use a Product beyond the scope of the applicable License; or
• Intentionally facilitate copyright infringement using our Products.

17. Intellectual Property

All intellectual-property rights in Store Content and Products remain with JEBJOSH MEDIA LIMITED or the applicable rights holder except where a written agreement expressly provides otherwise.

A purchase generally grants a License rather than ownership.

No copyright, trademark, publishing interest, master ownership, source-code ownership, or other intellectual-property right is transferred merely because payment was made.

Any express transfer or assignment of intellectual-property ownership must be stated in the applicable written agreement or License.

18. Trademarks and Branding

The names, logos, graphics, designs, and branding associated with Jebjosh may be protected by intellectual-property law.

You may not use our branding in a manner that:

• Falsely suggests endorsement;
• Falsely suggests partnership;
• Confuses customers about the source of a Product or service;
• Impersonates JEBJOSH MEDIA LIMITED or Jebjosh; or
• Otherwise infringes our rights.

Reasonable use of our name solely to accurately identify a legitimately licensed Product, producer credit, or factual relationship is not prohibited where permitted by the applicable License and law.

19. Customer Submissions and User Content

Where the Store allows you to submit messages, reviews, requests, comments, files, or other content ("User Content"), you represent that:

• You have the right to submit it;
• Your submission does not knowingly infringe another person's intellectual-property rights;
• Your submission does not unlawfully violate another person's privacy;
• Your submission is not fraudulent or intentionally misleading;
• Your submission does not contain unlawful malicious code; and
• Your submission does not otherwise violate applicable law.

You retain ownership of User Content that you own.

Where necessary to operate the Store, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, transmit, format, and technically modify User Content solely as reasonably necessary to:

• Provide the Store;
• Process your request;
• Provide customer support;
• Display content you asked us to publish;
• Maintain security; or
• Comply with legal obligations.

This license does not transfer ownership of your User Content to us.

We may remove or restrict User Content where we reasonably believe it:

• Violates these Terms;
• Is unlawful;
• Infringes rights;
• Creates a security risk;
• Contains malicious content; or
• Is otherwise inappropriate for the Store.

20. Links to the Store

You may link to https://market.jebjosh.com or https://jebjosh.trakroom.com or https://trakroom.com/jebjosh provided that the link:

• Is not misleading;
• Does not falsely imply sponsorship or endorsement;
• Does not impersonate JEBJOSH MEDIA LIMITED;
• Does not unlawfully use our trademarks; and
• Is otherwise lawful.

You may not use our logo or branded artwork in a way that implies authorization or partnership without permission.

21. Framing and Unauthorized Presentation

You may not frame, embed, mirror, or reproduce substantial portions of the Store in a manner that:

• Misrepresents the source of the Store;
• Hides our branding;
• Misleads users;
• Circumvents Store functionality;
• Creates security risks; or
• Infringes our intellectual-property rights.

This section does not prohibit ordinary links or sharing functionality provided by the Store.

22. Payments

Payments are handled through third-party Payment Processors.

Available payment methods may vary depending on:

• Location;
• Currency;
• Transaction amount;
• Payment method;
• Regulatory requirements;
• Risk controls; and
• Payment Processor availability.

JEBJOSH MEDIA LIMITED does not collect or store your full credit or debit card number, CVV, CVC, PIN, or other sensitive card credentials.

Where you pay by card, those payment details are entered directly into and processed through the applicable Payment Processor's secure payment environment.

We may receive limited transaction information necessary to:

• Confirm payment;
• Match payment to an Order;
• Deliver your Product;
• Issue a refund;
• Respond to a payment dispute; or
• Investigate suspected fraud.

23. Delivery of Digital Products

Digital Products are generally delivered electronically after successful payment.

Delivery may occur through:

• A download link;
• Customer account;
• Email;
• License entitlement;
• Software activation; or
• Another electronic delivery mechanism.

If payment succeeds but you do not receive the Product you purchased, contact support@jebjosh.com.

We will make reasonable efforts to restore access, correct delivery, provide replacement files, or otherwise fulfill the Order.

24. Refunds and Cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy.

Digital Products generally cannot be physically returned once downloaded, accessed, activated, licensed, or otherwise delivered.

Accordingly, a change of mind after successful digital fulfillment does not normally create a right to a refund.

However, refunds or other remedies may be available where, for example:

• You were charged more than once;
• You received the wrong Product;
• The Product is materially defective;
• Files are corrupted and cannot be replaced;
• The Product materially differs from its description;
• We cannot deliver the Product;
• We cancel a successfully paid Order; or
• Applicable law requires a refund or another remedy.

Refund requests should normally be submitted within 14 days of the purchase date, subject to rights or longer periods that cannot lawfully be excluded.

25. Effect of a Refund on Licensed Products

Unless applicable law or a Product-Specific License provides otherwise, where a licensed Product is fully refunded:

• The License associated with the refunded purchase terminates;
• Your right to begin new uses of the Product ends;
• You must stop new distribution or exploitation under the terminated License;
• You must not share, sell, or redistribute the original source files; and
• You should delete the original source files where reasonably possible.

Any additional termination provisions in the applicable Product-Specific License may also apply.

26. Fraud, Abuse and Circumvention

You must not:

• Use stolen or unauthorized payment methods;
• Submit fraudulent transactions;
• Circumvent payment controls;
• Circumvent licensing controls;
• Circumvent software activation;
• Circumvent download restrictions;
• Attempt unauthorized access to another customer's account;
• Introduce malicious software;
• Attack or interfere with the Store;
• Manipulate Store functionality for fraudulent purposes; or
• Use the Store in violation of applicable law.

We may restrict or suspend access where reasonably necessary to investigate or prevent fraud, abuse, security threats, or unlawful conduct.

27. Payment Disputes and Chargebacks

If you believe there is a problem with a transaction, you may contact us at support@jebjosh.com.

Contacting us directly may allow us to resolve issues such as:

• Duplicate charges;
• Incorrect delivery;
• Refund requests;
• Technical problems; or
• Missing Products.

Nothing in these Terms prevents you from exercising rights available through your bank, Payment Processor, card issuer, court, regulator, or consumer-protection authority.

Where a payment dispute or chargeback occurs, we may provide information reasonably necessary to respond to the dispute, including:

• Order records;
• Transaction references;
• Product information;
• License records;
• Delivery information;
• Download or access records; and
• Relevant communications.

Knowingly submitting false information as part of a payment dispute or intentionally abusing a chargeback process may constitute fraud or a breach of these Terms.

28. Privacy and Data Protection

Personal data collected through the Store is handled in accordance with our Privacy Policy.

Our Privacy Policy explains matters including:

• Personal data we collect;
• Why we process information;
• Nigerian data-protection compliance;
• Payment information;
• Cookies;
• Third-party processors;
• International transfers;
• Security;
• Retention;
• Customer rights; and
• How to contact us about privacy matters.

JEBJOSH MEDIA LIMITED does not collect or store customers' full payment card details.

Sensitive card credentials are handled by the applicable third-party Payment Processor.

29. Third-Party Services

The Store may rely on third parties for services including:

• Payment processing;
• Hosting;
• Cloud storage;
• Email delivery;
• Digital delivery;
• Security;
• Analytics; and
• Other infrastructure.

Third-party services may be governed by their own terms and privacy policies.

We are not responsible for independent third-party services that we do not control, except to the extent applicable law imposes responsibility on us.

30. Store Availability

We use commercially reasonable efforts to maintain the Store.

We do not guarantee that the Store will operate without interruption at all times.

Temporary interruptions may result from:

• Maintenance;
• Software updates;
• Internet outages;
• Hosting failures;
• Payment Processor outages;
• Security incidents;
• Telecommunications failures;
• Banking-system issues; or
• Circumstances outside our reasonable control.

If a technical problem prevents delivery of a paid Product, contact support@jebjosh.com so that we can attempt to complete delivery or provide another appropriate remedy.

31. Disclaimer and Consumer Rights

We seek to provide Products in accordance with their descriptions and applicable Licenses.

To the maximum extent permitted by law, the Store is otherwise provided on an "as available" basis.

Nothing in these Terms excludes, restricts, or waives:

• Liability for fraud or fraudulent misrepresentation;
• Liability that cannot lawfully be excluded;
• Mandatory consumer-protection rights;
• Rights relating to defective or materially misdescribed Products;
• Rights arising from unlawful conduct; or
• Any statutory guarantee or remedy that applicable law does not permit us to exclude.

Where these Terms conflict with a mandatory requirement of applicable law, the mandatory legal requirement will apply.

32. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be responsible for indirect or consequential losses that were not reasonably foreseeable as a result of the relevant breach.

To the maximum extent permitted by applicable law, our aggregate contractual liability relating directly to a particular Product or Order will not exceed the amount paid for the Product or Order giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

Nothing in this section removes a statutory right or remedy relating to defective, materially misdescribed, or undelivered Products where applicable law provides such a right.

33. Suspension and Termination

We may suspend or restrict access to the Store or an account where reasonably necessary to:

• Investigate suspected fraud;
• Address a security incident;
• Prevent unauthorized access;
• Protect intellectual-property rights;
• Respond to a Payment Processor requirement;
• Comply with applicable law; or
• Address a material breach of these Terms.

Where reasonably practicable, restrictions will be proportionate to the issue involved.

Termination of access does not automatically terminate valid Licenses previously purchased unless:

• The applicable License provides otherwise;
• The purchase has been refunded or reversed;
• The License was obtained through fraud;
• You materially breached the applicable License; or
• Applicable law otherwise permits termination.

34. Changes to These Terms

We may update these Terms from time to time to reflect changes to:

• Products;
• Store functionality;
• Licensing practices;
• Payment methods;
• Business operations;
• Technology;
• Applicable law; or
• Regulatory requirements.

The current version will be published through the Store.

Where a change materially affects existing rights and applicable law requires notice, we will provide appropriate notice.

Unless applicable law requires otherwise, the Terms and Product-Specific License in effect when you complete an Order will generally govern that Order.

35. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted, modified, or removed only to the minimum extent necessary.

The remaining provisions will continue to apply to the extent permitted by law.

36. No Waiver

If we do not immediately enforce a provision of these Terms, that does not mean we permanently waive our right to enforce it.

Any waiver applies only to the specific circumstances in which it is given.

37. Order of Precedence
