Software End User License Agreement

This Software End User License Agreement ("EULA") applies to software, plugins, applications, installers, and related software products supplied by Jodal, trading as Jodal, through https://jodalbeatz.trakroom.com or https://trakroom.com/jodalbeatz.

By downloading, installing, activating, accessing, or using a Software Product, you agree to this EULA and any Product-Specific License presented with that Software Product.

1. Software Is Licensed

Software Products are licensed rather than sold unless expressly stated otherwise. Purchasing a Software Product gives you a limited right to use the software according to this EULA and any Product-Specific License.

Copyright, source code, trademarks, proprietary technology, graphical assets, sounds included as part of the software, and other intellectual property remain with Jodal or the applicable rights holder.

2. License Grant

Unless a Product-Specific License states otherwise, Jodal grants you a limited, non-exclusive, non-transferable license to install and use the Software Product for lawful personal and commercial music-production or creative purposes.

The number of devices, activations, users, or installations permitted may be stated on the applicable product page or License.

3. Commercial Music Production

Unless expressly stated otherwise, you may commercially use original musical or creative output that you create using the Software Product.

Jodal does not claim:

• Ownership of your original songs;
• Ownership of your master recordings;
• Publishing ownership solely because you used the Software Product;
• Continuing royalties solely because you used the Software Product; or
• Ownership of original output created by you through lawful use of the Software Product.

This does not give you ownership of the Software Product itself or of any separately licensed content contained within it.

4. Restrictions

Except where expressly permitted by applicable law or a Product-Specific License, you may not:

• Sell unauthorized copies of the Software Product;
• Redistribute the Software Product;
• Share installers where distribution is prohibited;
• Share serial numbers, activation keys, or license credentials;
• Circumvent license or activation systems;
• Bypass technical protections;
• Remove copyright or ownership notices;
• Claim ownership of the Software Product;
• Extract proprietary components for unauthorized redistribution;
• Decompile or reverse engineer the Software Product except where applicable law expressly permits it; or
• Use the Software Product to engage in unlawful activity.

5. Account and License Security

Where a Software Product uses an account, activation code, license key, or other licensing system, you are responsible for taking reasonable steps to protect that information. You must not intentionally provide your activation credentials to unauthorized users.

6. System Requirements and Compatibility

Software Products may require specific:

• Operating systems;
• Processor architectures;
• DAWs;
• Plugin formats;
• Hardware;
• Memory;
• Storage;
• Internet connectivity;
• Activation systems; or
• Other technical requirements.

The relevant requirements should be reviewed on the Product page before purchase. You are responsible for confirming that your system meets clearly disclosed requirements.

We do not guarantee compatibility with every:

• DAW;
• Operating system;
• Computer;
• Audio interface;
• Plugin host;
• Future software version; or
• Third-party product.

7. Updates and Compatibility Changes

We may release updates, bug fixes, maintenance releases, or new versions. We do not guarantee that every Software Product will receive updates indefinitely.

Operating-system developers, DAW developers, hardware manufacturers, or other third parties may introduce changes outside our control that affect compatibility. Where reasonably practicable, we may provide information concerning significant known compatibility issues.

8. Third-Party Components

Software Products may include or depend upon third-party libraries, frameworks, open-source software, SDKs, or other third-party technology. Third-party components may be subject to their own licenses.

Where required, applicable third-party notices or license information may be supplied with the Software Product or through a separate Third-Party Software Notices document.

9. Support

Where support is offered, support may include reasonable assistance with:

• Installation;
• Activation;
• Download problems;
• Known software issues; or
• Product functionality.

Support does not guarantee compatibility with unsupported systems or third-party software.

10. Defects and Refunds

If a Software Product is materially defective, please contact salamijoshua84@gmail.com. We may first attempt to:

• Diagnose the issue;
• Provide troubleshooting;
• Supply an updated installer;
• Correct the issue;
• Restore activation; or
• Provide another reasonable remedy.

Refund eligibility is governed by our Refund & Cancellation Policy and applicable law. Nothing in this EULA removes rights relating to materially defective or misdescribed software that cannot lawfully be excluded.

11. Termination

Your Software License may terminate if:

• The purchase is refunded;
• The License was obtained through fraud;
• You materially breach this EULA; or
• The Product-Specific License otherwise lawfully permits termination.

Following termination, you must stop using the Software Product and uninstall it where reasonably required.

12. Intellectual Property

All intellectual-property rights in the Software Product remain with Jodal or its licensors except where expressly stated otherwise. Nothing in this EULA transfers ownership of the Software Product or source code to you.

13. Liability and Consumer Rights

Nothing in this EULA excludes or limits liability or consumer rights that cannot lawfully be excluded. To the maximum extent permitted by applicable law, Jodal is not responsible for indirect or unforeseeable losses caused solely by circumstances outside our reasonable control.
